Time is of the Essence Contract Clauses

Time of essence clause: all/specific deadlines become material conditions. Miss = material breach + terminate (no cure unless provided) + damages. Risks: harsh results (minor delay = termination), loss of flexibility, waiver risk, and strategic use. Mitigation: cure periods, notice, and specific remedies. Force majeure interaction: may suspend deadline if included; without = strictly enforced. Best practice: include both clauses and specify interaction.
